This document governs the use of the VinAI® Sommelier cloud software platform (SaaS). The agreement is entered into between VINAI di Inverso Giuseppe (the Provider) and the Customer (Business/Restaurant Owner).
1. Subject matter and limits of the service
Temporary Licence The Provider grants the Customer a temporary, non-exclusive and non-transferable licence to use the software. This agreement does not in any way constitute a sale of the software. VinAI® Sommelier is designed exclusively as a tool to support sales and upselling, and does not in any way constitute point-of-sale or inventory management software.
2. Terms of use, materials and intellectual property
A

Exclusive Use and Physical Materials

Use of the software is strictly limited to the business premises specified in the Customer's contract. Transferring the account or using the service at other premises without prior written authorisation is strictly prohibited. The Provider supplies the digital QR Code; printing and preparing any physical counter or table displays are the sole responsibility of the Customer.

B

Confidentiality and Reverse Engineering

All copyrights, know-how, AI algorithms and prompts remain the exclusive property of the Provider. The Customer is strictly prohibited from carrying out any reverse engineering or from using the information acquired to develop (or have third parties develop) competing software platforms.

C

Prohibition of Web Scraping and API Abuse

The use of automated systems (bots, spiders, scrapers) to extract data, price lists, menus or content from the VinAI® platform is strictly prohibited. Likewise, accessing, querying or exploiting in any way the VinAI® APIs (Application Programming Interfaces) without explicit written authorisation and without credentials formally issued by the Provider is strictly prohibited.

3. Disclaimer of liability for content
⚠️ Responsibility for Allergens and Ingredients

The Provider accepts no liability for any errors, omissions or inaccuracies in the data published on the platform. Checking and validating the data, and responsibility for any civil, criminal or health consequences arising from incorrect information (with particular reference to allergens and ingredients), rest exclusively with the Customer. Under no circumstances shall the Provider be held liable for direct or indirect damages caused by inaccuracies of the Artificial Intelligence or incorrect data in the system.

4. Technical support and maintenance
What is included and what is NOT The service includes cloud hosting, system updates, bug fixing and server maintenance. Support does not include in any way data entry activities (uploading, editing or translating dishes and prices, which remain the Customer's responsibility), nor the supply or configuration of the venue's hardware devices (tablets, Wi-Fi, smartphones).
5. Suspension, withdrawal and termination
A

Duration and Interruption

Contracts have a duration of six months or one year. In the case of an annual subscription, the Customer may stop the service without penalty at the end of the sixth month, subject to formal written notice.

B

Suspension and Automatic Termination Clause

A payment delay of more than 10 calendar days will result in the immediate and automatic suspension of the service. In addition, the contract shall be automatically terminated by operation of law (pursuant to Art. 1456 of the Italian Civil Code) in the event of a breach of the clauses on usage limits, payments, protection of intellectual property and technical abuse (including web scraping).

6. Jurisdiction
Governing Law This contract is governed entirely by Italian law. Any dispute concerning the interpretation, performance or termination of this agreement shall be referred to the exclusive jurisdiction of the Court of Vallo della Lucania (Italy).
